Partner Program Terms

These terms are published in English, and the English text is the version that applies. Translations can be provided on request as a convenience, but where a translation and this text differ, this text governs. Questions in Chinese or Japanese are welcome at [email protected].

1. What these terms cover

These terms apply to anyone accepted into the HPSILab Partner Network. They set out how referrals are attributed, what revenue a share can be earned on, and how and when anything owed is paid. A signed partnership agreement, where one exists, takes precedence over these terms; everything not covered by that agreement is covered here.

Applying does not create a partnership. A partnership begins when HPSILab approves an application, and only from that date.

2. Attribution

Each approved partner receives a referral link containing a unique code. When a visitor arrives through that link, HPSILab records the visit against the partner.

3. Eligible revenue

A revenue share is calculated on payments HPSILab actually receives from a customer who was attributed to the partner, where the payment is made after the referral was recorded. Currently that means subscription payments and credit pack purchases.

Pay-per-call payments made through x402 are not eligible revenue. Those payments identify a wallet rather than an account, so they cannot be traced to a referral. If that changes, this section will change with it, and partners will be told.

A payment made before the referral was recorded is not eligible, including payments from a customer who was already an HPSILab user when they used the link.

4. Rate

There is no standard rate. The share for each partnership is agreed individually and applies from the date it is agreed. Where a rate has an end date - for example a share limited to a customer's first year - revenue received after that date earns nothing.

Until a rate has been agreed in writing, no share accrues. A rate is never applied by default.

5. Refunds, chargebacks and reversals

A share is earned on money HPSILab keeps. If a payment is refunded or charged back, the share calculated on it is reversed, whether or not it has already been paid out. A reversal that happens after payment is deducted from the next amount owed; if no further amount becomes owed, HPSILab may ask for it back.

Reversed amounts remain visible on the partner dashboard rather than disappearing, so the change can be seen and questioned.

6. What is not eligible

Where HPSILab reasonably believes any of these has occurred, it may withhold or reverse the affected amounts and, in serious cases, end the partnership. HPSILab will say what it believes happened and give the partner a chance to respond before withholding a payment that would otherwise be due.

Partners may say they are an HPSILab partner and use the HPSILab name to describe the integration or referral. Partners may not present themselves as HPSILab, imply that HPSILab endorses their product beyond the partnership, or describe HPSILab's capabilities in terms HPSILab has not published.

The following are not permitted, and traffic from them is not eligible:

9. Taxes

Amounts stated are gross. Each partner is responsible for their own taxes on what they receive, and for providing any tax documentation HPSILab reasonably needs in order to pay them. Where HPSILab is required by law to withhold tax, it will withhold and pay the net amount.

10. Ending the partnership

Either side may end the partnership at any time, with notice by email. Ending it stops future attribution from the date it ends. Amounts already earned and not reversed remain payable under section 7.

HPSILab may suspend a partnership immediately where it reasonably believes section 6 or section 8 has been breached, and will explain why.

11. Changes to these terms

HPSILab may change these terms. Material changes - to the rate mechanism, the attribution window, what counts as eligible revenue, or payment timing - take effect 30 days after partners are notified by email, and do not apply retroactively to amounts already earned. Continuing to use a referral link after that date means the changed terms apply.

12. Liability

HPSILab does not guarantee any level of traffic, conversion or income. Nothing in these terms creates an employment, agency, partnership or joint venture relationship. Neither side is liable to the other for indirect or consequential loss. HPSILab's total liability under these terms is limited to the amounts payable to that partner in the twelve months before the claim.
